Terms of service

These terms govern use of Mikrosell Wine POS, a subscription point-of-sale and back-office system operated by Mikrosell Systems (“we”, “us”), Nairobi, Kenya. By registering a business or accepting a staff invite, you agree to these terms.

1. The service

Mikrosell Wine POS provides point-of-sale, stock, supplier, staff, and reporting tools for a retail business, delivered as a hosted subscription service accessible from any phone or device with a browser. Some features (recording a sale, opening or closing a shift) continue to work without an internet connection and sync automatically once it returns.

2. Accounts

  • An owner registers the business and sets their own 4-digit PIN; they never set or see a cashier’s PIN.
  • A cashier account is created only by accepting an invite sent to their phone number, and sets their own PIN on acceptance.
  • Each person is responsible for keeping their own PIN confidential and for all activity recorded under their login.
  • An owner can deactivate a cashier’s access at any time.

3. Subscription, billing, and payment

  • Mikrosell Wine POS is billed on the plan and branch/staff limits the business selects, renewed via M-Pesa STK Push directly to the owner’s phone.
  • New businesses receive a free trial period; the plan converts to paid billing once it ends unless cancelled.
  • A missed renewal is followed by a grace period before access is suspended — we’ll notify the owner before that happens.
  • Changing to a higher plan takes effect immediately; changing to a lower plan takes effect at the end of the current billing period, and only if the business is already within that lower plan’s branch and staff limits.
  • Fees already paid are non-refundable except where required by Kenyan law.

4. Acceptable use

  • Use Mikrosell Wine POS only for lawful business operations.
  • Don’t attempt to access another business’s data, circumvent the PIN or role-based permission system, or resell access to your account.
  • Don’t use the service to record fraudulent transactions, including issuing receipts or delivery notes for transactions that didn’t occur.
  • We may suspend an account that we reasonably believe is being used to break these terms, or the law.

5. Your data

You own the data your business records in Mikrosell Wine POS. We process it to provide the service, as described in our Privacy Policy. You can export your full operational history at any time, and again on termination — there’s no lock-in.

6. Availability

We aim for high availability but don’t guarantee the service will be uninterrupted or error-free. Offline mode queues sales locally on a device when there’s no connection and syncs them once it returns, but isn’t a substitute for a data backup of a device itself — don’t rely on a single device as your only record of a sale before it has synced.

7. Termination

  • You may cancel your subscription at any time; access continues until the end of the current billing period.
  • We may suspend or terminate an account for non-payment after the grace period, or for a breach of these terms, with notice where reasonably possible.
  • On termination, we’ll provide a reasonable window to export your data before it’s deleted per our retention policy.

8. Limitation of liability

To the extent permitted by Kenyan law, Mikrosell Systems isn’t liable for indirect, incidental, or consequential losses arising from use of Mikrosell Wine POS, including lost profits or lost data beyond what reasonable data-protection measures are designed to prevent. Our total liability for any claim is limited to the subscription fees paid by the business in the three months before the claim arose.

9. Changes to these terms

We’ll notify the account owner of a material change before it takes effect, by SMS, email, or WhatsApp. Continuing to use Mikrosell Wine POS after that means you accept the updated terms.

10. Governing law

These terms are governed by the laws of Kenya, and any dispute is subject to the exclusive jurisdiction of the courts of Nairobi.
